DEFINITIONS:

The Supplier:

• Cheltenham Courseware Pty. Ltd. The trading names 'Cheltenham Courseware' and 'Cheltenham Computer Training' may also be used.   In some countries the supplier may be called 'Cheltenham Courseware Inc.', or 'Cheltenham Courseware Ltd.’, or 'Cheltenham Courseware Pty. Ltd.'
  

The Purchaser:

• The individual, company or organization purchasing Training Materials from Cheltenham Courseware Pty. Ltd. (or from an authorized reseller/agent).
  

Training Material(s):

• This Courseware Library Site License agreement covers all the versions and formats of the training manual, exercise pack/workbooks, PowerPoint slides and any exercise files provided, hereafter referred to as the "Training Materials".
  

TERMS AND CONDITIONS

• This Courseware Library Site License agreement between the Supplier and the Purchaser supersedes any other agreement or discussions either oral or written and may not be changed except by written signed agreement.
• This Courseware Library Site License agreement covers all Training Materials supplied by Cheltenham Courseware Pty. Ltd. to the Purchaser.
• No refund will be given in the event of inadequate Internet connection at the Purchaser's organization resulting in the inability to download files from the Internet or to print the Training Material files. In cases where the original Training Material files are corrupted, Cheltenham Courseware Pty. Ltd. will supply replacement Training Material files. 
• No refund will be given in the event of inadequate printing facilities at the Purchaser's organization resulting in the inability to print the Training Material.
• Once you have purchased the Training Materials, no refund can be offered.   We make all our Training Materials available in sample format, which can be downloaded from our web, prior to making a purchasing decision.
• The Training Material may be used by the Purchaser to provide training at a single, physical, designated training center. Additional licenses are   required to use the Training Materials at more than one site.
• A site is defined as a geographical site such as a physical training center location, college or University.
• The Purchaser may use the Training Material to provide training to the Purchaser's clients at their own site (provided this site is within the Purchaser's national borders). If the Purchaser wishes to train at a client’s site, then a single site license allows the Purchaser to only train at one site at a time. The Purchaser will need to purchase additional licenses to allow training at more than one site, simultaneously.
• If the Purchaser has more than one training center and wishes to use the Training Material at these training centers, then this will require multiple single site licenses for each site (in many cases colleges or Universities however will be treated as a single site, even if spread out within a town or city).
• Delegates attending training courses where the training materials are being used, may retain copies of the printed training manual and exercise pack/workbooks for reference purposes only.
• The Training Material must not be re-sold, lent, rented, assigned or transferred to any third party in any form.
• The Training Material must not be exported from the country to which it is supplied, in any form.
• The passwords necessary to access and open the Training Material must not be disclosed to any third party in any form.
• In order to obtain support for any Training Materials supplied by Cheltenham Courseware Pty. Ltd. the Purchaser must quote the Courseware License Site Administrator Password.
• Under no circumstances must the source Microsoft Word files containing the Training Material be made available on a network, internet, intranet, CD-ROM, DVD or similar medium.
• The Training Materials may be edited and customized as required on the understanding that copyright information is clearly displayed within all documents, and remains with the Supplier.
• The Purchaser may not translate, reverse engineer, de-compile or disassemble any of the Adobe PDF (or Help) files supplied.
• Only printed copies of the Training Material may be made available to delegates/students. If the Purchaser has licensed the Professional Edition of the Courseware Library, then the training materials may also be made available in protected Adobe Acrobat or compiled HTML/Help file formats. These will in any event only be available to people physically at the registered site(s). No distance learning is permitted by our Standard or Professional Courseware Library license.
• It is the responsibility of the Purchaser to print copies of the Training Material.
• The Purchaser may add their name and logos to the courseware materials, but in all cases the Purchaser must leave a copyright notice on all documents that acknowledges copyright by Cheltenham Courseware Pty. Ltd.
• The site license entitles the Purchaser to use the Training Materials at the named site(s).
• The site license entitles the Purchaser to receive new Courseware Library titles produced within 12 months of the purchase date (these will be made available via Internet download, and will require that you supply an official company/organization email address if you wish to be notified when new courses become available)
• The Purchaser may not make the courseware available to people who have not physically attended a training course at their site.
• The Purchaser may not place courseware on the Internet without specific written permission, and this must be fully protected from unauthorized access.
• Under the terms of this site license agreement there is no limit to the number of copies of the Training Material that the Purchaser may produce.
• Copyright of all the Training Material remains with the copyright holder.
• Purchasing Training Material from Cheltenham Courseware Pty. Ltd. indicates the Purchasers acceptance of these terms and restrictions and any violation will be prosecuted to the full extent of local law.
• If any provision of this license is declared by a court of competent jurisdiction to be invalid, illegal or unenforceable such provisions shall be severed from the license and the other provisions shall remain in full force and effect.
• This licensing agreement shall continue as long as the Purchaser uses the Training Materials. However, it will terminate if the Purchaser fails to comply with any of its terms and conditions. The Purchaser agrees, upon termination, to destroy all copies of the Training Material.
• ECDL / ICDL courseware may only be used within countries have had authorized its use within that country.   It should be used with the intension of students/delegates taking the ECDL / ICDL qualification.
  

THE STANDARD EDITION COURSEWARE LIBRARY

• The Standard Edition of the Courseware Library is supplied in Microsoft Office format, and is designed to be printed out and given to students/delegates at the registered site(s).
• The materials are supplied on a DVD Data Disk, from which the Purchaser can 'print manuals on demand'.
• The Purchaser can add their organization's name and logo to the printed manuals, providing the Purchaser clearly acknowledges copyright on the printed versions.
• Under NO circumstances can the source Microsoft Office formatted materials be made available to students/delegates.
  

THE PROFESSIONAL EDITION COURSEWARE LIBRARY

• The Professional Edition of the Courseware Library is supplied in Microsoft Office format, (allowing the Purchaser to 'print manuals on demand'). The Purchaser can add their organizations name and logo to the printed manuals, providing the Purchaser clearly acknowledge copyright on the printed versions.
• Under NO circumstances can the source Microsoft Office materials be made available to students/delegates.
• In addition a range of other formats are supplied for use on a secure LAN/Intranet at the registered site(s). These other formats include Adobe Acrobat, HTML and searchable Help File formats.
  
  PLEASE NOTE: As with all 'Help File' formatted '.chm' files, you may find that in order to use the 'Help File', it has to be run locally, rather than across a network.
  
  Schools, Universities and Colleges may place these files on a protected Intranet, provided access is restricted to people at the registered site(s).
• No 'distance learning' is permitted by our Standard or Professional Courseware Library license.

'COURSEWARE LIBRARY' SUBSCRIPTION RENEWALS

• When you purchase your 'Courseware Library' site license you are entitled to receive (via Internet download) all new courses released as part of that 'Courseware Library', for a period of 12 months. 
• To receive new courses after this 12 month period, you must purchase a 'Courseware Library Renewal Subscription'.   This is normally priced at 50% of the regular advertised price of the full 'Courseware Library' Site License.
• For any sites licenses that were individually quoted, please email us for an individually subscription renewal quote.
  
  PLEASE NOTE: This 50% discount for renewing your 'Courseware Library' subscription is ONLY available if you purchase the subscription renewal within 28 days of the expiry of your existing license.
  

DISTANCE LEARNING

• Neither the Standard or Professional versions of the Training Materials, allow the Purchasers to use the training materials for distance learning. This restriction applies to use of the Internet, Intranet and CD-ROM / DVDs.
  

ADDITIONAL INFORMATION

• No documentation provided by Cheltenham Courseware Pty. Ltd. may be copied without written permission from Cheltenham Courseware Pty. Ltd. unless produced under the terms of a courseware site license agreement with Cheltenham Courseware Pty. Ltd.
• All reasonable precautions have been taken in the preparation of the Training Materials, including both technical and non-technical proofing. Cheltenham Courseware Pty. Ltd. and all staff assume no responsibility for any errors or omissions. No warranties are made, expressed or implied with regard to these Training Materials. Cheltenham Courseware Pty. Ltd. shall not be responsible for any direct, incidental or consequential damages arising from the use of the Training Materials. While the Training Materials are regularly scanned for viruses, it is the Purchasers responsibility to virus check all files supplied by Cheltenham Courseware Pty. Ltd., prior to use. Please inform Cheltenham Courseware Pty. Ltd. of any errors in the training modules. All courses are updated on a regular basis, so feedback is both valued by Cheltenham Courseware Pty. Ltd. and will help to maintain the highest possible standards.
  

SAMPLE COURSEWARE VERSIONS

• (Normally supplied in Adobe Acrobat format). If the version of courseware is marked as NOT FOR TRAINING, SAMPLE, SAMPLE ONLY (or similar), then it cannot be used as part of a training course, and is made available purely for content and style review. This is to give the opportunity to preview the courseware, prior to making a purchasing decision. Sample versions may not be re-sold to a third party.
• The Purchaser agrees to be bound by the laws of Western Australian in relation to the Courseware License and any dispute between the Purchaser and the Supplier will be settled, exclusively, via the Western Australian judicial system, and in Western Australia

ECDL / ICDL TRAINING MATERIALS

(European Computer Driving License/ International Computer Driving License)

• As the Cheltenham Courseware Pty. Ltd. ECDL / ICDL Training Material is approved by the ECDL foundation, the Purchaser may not make any changes to course content. For more information relating to ECDL approval please contact the ECDL, www.ecdl.com. Cheltenham Courseware Pty. Ltd. accepts no liability whatsoever arising from any changes that the Purchaser makes to the courseware, with, or without, ECDL Foundation approval.
• Terms and conditions relating to our ECDL/ ICDL course materials   may be affected by changes in ECDL-Foundation rules and regulations.   As our ECDL / ICDL is all fully approved by the ECDL-Foundation, we are bound by their rules and regulations, which may change without notice from time to time and affect what courses we are allowed to sell within particular countries.
  

FOR CURRENT LICENSING INFORMATION

• Cheltenham Courseware Pty. Ltd. reserves the right to alter licensing conditions at any time, without prior notice. No terms or conditions will affect the Purchasers rights as defined under Australian law. Please see the current site license agreement available at: www.cheltenhamcourseware.com.au/agreement
